Your continued use of the Service after any changes constitutes your acceptance of the revised Terms. You are responsible for reviewing these Terms periodically. If you do not agree to any changes, you must discontinue use of the Service immediately.
1. INTRODUCTION AND ACCEPTANCE OF TERMS
1.1 About These Terms
Welcome to Gatherilla. These Terms of Service (“Terms”) constitute a legally binding agreement between you and Gatherilla Limited (“Gatherilla”, “we”, “us”, “our”), a company registered in England and Wales with company number 16451394, having its registered office at 7 Fry Crescent, Burgess Hill, England, RH15 8TP.
These Terms govern your access to and use of the Gatherilla platform located at gatherilla.com (the “Platform”), including our real-time multiplayer team engagement games and all related services (collectively, the “Service”).
1.2 Acceptance of Terms
By accessing or using our Service, creating an account, or by clicking to accept or agree to these Terms when this option is made available to you, you confirm that:
(a) You have read, understood, and agree to be bound by these Terms;
(b) You are at least 18 years old and have the legal capacity to enter into a binding agreement;
© If you are accepting these Terms on behalf of an organisation, you have the authority to bind that organisation to these Terms, and references to “you” shall include that organisation; and
(d) You agree to comply with all applicable laws and regulations in connection with your use of the Service.
If you do not agree to these Terms, you must not access or use the Service.
1.3 Related Policies
These Terms incorporate by reference the following policies, which form part of your agreement with us:

2. CHANGES TO TERMS AND SERVICE
2.1 Changes to These Terms
We may revise these Terms at any time by posting an updated version on this page. We are not obligated to provide individual notice of changes, whether by email or otherwise. Changes are effective immediately upon posting. The “Last Updated” date at the top of these Terms indicates when revisions were last made.
Your continued use of the Service following the posting of any changes constitutes your acceptance of those changes. It is your responsibility to check this page periodically for updates. If you do not agree to any revised Terms, your sole remedy is to discontinue use of the Service.
2.2 Changes to the Service
We reserve the right to modify, suspend, or discontinue the Service (or any features, functionality, or content thereof) at any time, with or without notice, and without liability to you. We may also impose limits on certain features or restrict your access to parts of the Service without notice or liability.
3. ELIGIBILITY
3.1 Age Requirement
The Service is intended for use by individuals who are at least 18 years of age. By using the Service, you represent and warrant that you are at least 18 years old. If you are under 18, you may not use the Service.
3.2 Business Use
The Service is designed for business use, including team engagement, team building, and professional meetings. By using the Service, you represent that you are using it for legitimate business purposes or personal entertainment among adults.
3.3 Prohibited Users
You may not use the Service if:
(a) You have been previously suspended or removed from the Service by us;
(b) You are prohibited from receiving the Service under applicable laws; or
© You are a direct competitor of Gatherilla accessing the Service for competitive analysis or benchmarking purposes, unless you have our prior written consent.
4. ACCOUNT REGISTRATION AND SECURITY
4.1 Account Creation
To access certain features of the Service, you must create an account. When creating an account, you agree to:
(a) Provide accurate, current, and complete information;
(b) Maintain and promptly update your account information to keep it accurate, current, and complete;
© Maintain the security of your account credentials; and
(d) Accept responsibility for all activities that occur under your account.
4.2 Magic Link Authentication
We use passwordless authentication via magic links sent to your registered email address. You are responsible for:
(a) Ensuring your email account is secure;
(b) Not sharing magic link emails with others; and
© Notifying us immediately at support@gatherilla.com if you suspect any unauthorised access to your account.
4.3 Organisation Accounts
If you create an Organisation account:
(a) You represent that you have authority to bind the organisation to these Terms;
(b) You are responsible for managing user access within your Organisation;
© You are responsible for all activities conducted by users within your Organisation’s account; and
(d) You agree to ensure all users within your Organisation comply with these Terms and our Acceptable Use Policy.
4.4 Account Suspension and Termination
We reserve the right to suspend, disable, or terminate your account at any time if we reasonably believe:
(a) You have violated these Terms or any related policies;
(b) Your use of the Service poses a security risk;
© Your use may subject us or third parties to liability; or
(d) Your account has been inactive for an extended period.
5. SERVICE DESCRIPTION
Gatherilla is a B2B SaaS platform providing real-time multiplayer games designed for team engagement and remote team building. The Service enables teams to play games together during video calls or in-person meetings to improve team bonding, break the ice, and make meetings more engaging. The Service also includes other additional features.
6. SUBSCRIPTION PLANS AND FEES
6.1 Free Tier
We offer a free tier that includes:
(a) Access to Common Ground;
(b) Limited access to Letterilla;
© Unlimited players per session; and
(d) No credit card required.
The free tier is provided “as is” and may be modified or discontinued at any time.
6.2 Premium Tier
Our premium tier offers additional features including:
(a) Access to all available games;
(b) Team analytics dashboard; and
© Priority email support.
6.3 Pricing Structure
Premium subscriptions are charged on a per-seat, per-month basis with tiered pricing. Current pricing is available at gatherilla.com/pricing. We reserve the right to change our pricing at any time; however, price changes will not affect your current subscription period.
6.4 Annual Billing
Annual subscriptions are billed in advance for a 12-month period and include a discount equivalent to two months free (you pay for 10 months).
6.5 Pro-Rated Billing
When you add or remove seats during a billing period:
(a) Adding seats: You will be charged a pro-rated amount for the remainder of the current billing period;
(b) Removing seats: Seat reductions take effect at the start of your next billing period. You will continue to have access to your current number of seats until the end of the current billing period, and no pro-rated credit will be issued for removed seats;
© Re-adding seats: If you re-add seats during the same billing period up to your previous peak, no additional pro-rated charge will apply as those seats are already covered by your current billing period.
7. PAYMENT TERMS
7.1 Payment Methods
We accept payment via credit card, debit card, and other payment methods as indicated on our Platform. All payments are processed securely through Stripe. We do not store your full payment card details on our servers.
7.2 Billing
(a) Monthly subscriptions: Your payment method will be charged on the same date each month, beginning on the date you first subscribed;
(b) Annual subscriptions: Your payment method will be charged on the same date each year, beginning on the date you first subscribed.
7.3 Automatic Renewal
Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. By subscribing, you authorise us to charge your payment method for each renewal period until you cancel.
7.4 Failed Payments
If a payment fails, we may:
(a) Retry the payment;
(b) Notify you and request updated payment information;
© Suspend your access to premium features until payment is received; or
(d) Terminate your subscription after reasonable attempts to collect payment.
7.5 Taxes
All fees are exclusive of applicable taxes (including VAT, sales tax, or similar taxes), which will be added to your invoice where required by law. You are responsible for all applicable taxes associated with your subscription.
7.6 Price Changes
We may change subscription prices at any time. Price changes will:
(a) Be posted on our Platform;
(b) Not affect your current billing period; and
© Apply from your next renewal date.
Continued use of the Service after a price change takes effect constitutes your acceptance of the new price.
8. CANCELLATION AND REFUNDS
8.1 How to Cancel
You may cancel your subscription at any time by:
(a) Accessing your account settings and selecting the cancellation option; or
(b) Contacting us at support@gatherilla.com.
8.2 Effect of Cancellation
Upon cancellation:
(a) You will retain access to premium features until the end of your current billing period;
(b) Your subscription will not renew for the next billing period;
© Your account will revert to the free tier at the end of the billing period; and
(d) You will continue to have access to your account and any data stored therein, subject to our data retention policies.
8.3 Refund Policy
(a) Monthly subscriptions: Fees paid are generally non-refundable. We do not provide refunds or credits for partial months of service or unused premium features;
(b) Annual subscriptions: For annual subscriptions paid in full, you may request a pro-rated refund within 30 days of the initial purchase or renewal. After 30 days, annual subscriptions are non-refundable.
8.4 Consumer Right of Withdrawal (UK and EU Consumers)
If you are a consumer in the United Kingdom or European Union:
(a) You have the right to withdraw from your subscription within 14 days of purchase without giving any reason;
(b) To exercise this right, you must inform us of your decision by a clear statement (e.g., email to support@gatherilla.com);
© If you have used the Service during the 14-day period, you may be charged a proportionate amount for the Service used;
(d) We will refund any amounts due within 14 days of receiving your withdrawal notice, using the same payment method you used.
8.5 No Refunds for Termination Due to Breach
If we terminate your account due to your breach of these Terms, you will not be entitled to any refund of prepaid fees.
9. INTELLECTUAL PROPERTY
9.1 Gatherilla’s Intellectual Property
The Service, including all software, games, content, features, functionality, designs, text, graphics, logos, icons, images, audio, video, and the selection and arrangement thereof (collectively, “Gatherilla IP”), is owned by Gatherilla or its licensors and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws.
9.2 Limited Licence
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Service solely for your internal business purposes or personal entertainment.
9.3 Restrictions
You may not:
(a) Copy, modify, adapt, translate, or create derivative works based on the Service or Gatherilla IP;
(b) Reverse engineer, disassemble, decompile, or otherwise attempt to derive the source code of the Service;
© Remove, alter, or obscure any copyright, trademark, or other proprietary notices;
(d) Reproduce, distribute, publicly display, or publicly perform any part of the Service;
(e) Use the Service for any commercial purpose other than your internal business use as contemplated by these Terms;
(f) Frame or mirror any part of the Service without our prior written consent; or
(g) Use any automated means (including robots, scrapers, or spiders) to access the Service.
9.4 Trademarks
“Gatherilla”, the Gatherilla logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Gatherilla or its affiliates. You may not use such marks without our prior written permission.
9.5 Feedback
If you provide us with any ideas, suggestions, or feedback regarding the Service (“Feedback”), you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use, modify, and incorporate such Feedback into the Service without any obligation to you.
10. USER CONTENT AND DATA
10.1 Your Data
You retain all rights to the data you input into the Service, including Organisation information, user details, and game configurations (“Your Data”). You grant us a limited licence to use Your Data solely to provide the Service to you.
10.2 Game Session Data
We collect and store data relating to game sessions, including participant nicknames, answers, scores, and results. This data is used to provide the Service and may be analysed in aggregated, anonymised form to improve our products.
10.3 Data Processing
Our collection and processing of personal data is governed by our Privacy Policy. For B2B customers requiring GDPR compliance documentation, our Data Processing Agreement is available upon request.
10.4 Data Retention
Upon termination of your account, we may retain Your Data in accordance with our Privacy Policy and as required by applicable law. You may request deletion of your personal data as described in our Privacy Policy.
11. ACCEPTABLE USE
11.1 General
You agree to use the Service only for lawful purposes and in accordance with these Terms and our Acceptable Use Policy. Our Acceptable Use Policy (gatherilla.com/legal/acceptable-use) sets out detailed rules regarding permitted and prohibited uses of the Service.
11.2 Prohibited Conduct
Without limiting our Acceptable Use Policy, you agree not to:
(a) Use the Service for any illegal purpose or in violation of any applicable laws;
(b) Engage in any conduct that is harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable;
© Interfere with or disrupt the Service or servers or networks connected to the Service;
(d) Attempt to gain unauthorised access to any part of the Service or any systems or networks connected to the Service;
(e) Use the Service in any manner that could damage, disable, overburden, or impair the Service;
(f) Transmit any viruses, malware, or other harmful code;
(g) Collect or store personal data about other users without their consent; or
(h) Use the Service in any way that violates any applicable professional or ethical standards.
11.3 Content Standards
All content used within the Service (including game answers, team names, and chat messages) must be appropriate for a professional workplace setting. Content that is discriminatory, harassing, sexually explicit, or otherwise inappropriate for a business environment is prohibited.
12. SERVICE AVAILABILITY AND SUPPORT
12.1 Service Availability
We will use commercially reasonable efforts to make the Service available, but we do not guarantee that the Service will be uninterrupted, timely, secure, or error-free. The Service may be subject to limitations, delays, and other problems inherent in the use of the internet and electronic communications.
12.2 No Service Level Agreement
Unless otherwise agreed in a separate Enterprise Agreement, we do not provide any service level guarantees, including uptime commitments or response time guarantees.
12.3 Scheduled Maintenance
We may perform scheduled maintenance on the Service from time to time. Where possible, we will provide advance notice of scheduled maintenance that may significantly affect Service availability.
12.4 Support
Premium tier subscribers receive priority email support. Support requests can be submitted to support@gatherilla.com.
13. THIRD-PARTY SERVICES
13.1 Third-Party Integrations
The Service may integrate with or rely on third-party services, including:
(a) Stripe for payment processing;
(b) Amazon Web Services (AWS) for hosting and infrastructure; and
© Other services as may be added from time to time.
13.2 Third-Party Terms
Your use of third-party services may be subject to separate terms and conditions and privacy policies. We are not responsible for the practices or policies of third-party services.
13.3 No Endorsement
Reference to any third-party products, services, or websites does not constitute an endorsement by Gatherilla.
14. DISCLAIMERS
14.1 “As Is” and “As Available”
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF DEALING.
14.2 No Guarantee
We do not warrant that:
(a) The Service will meet your requirements or expectations;
(b) The Service will be uninterrupted, timely, secure, or error-free;
© The results obtained from the Service will be accurate or reliable;
(d) The quality of the Service will meet your expectations; or
(e) Any errors in the Service will be corrected.
14.3 Use at Your Own Risk
Your use of the Service is at your sole risk. We are not responsible for any damage to your computer systems, loss of data, or other harm resulting from your use of the Service.
14.4 No Professional Advice
The Service is designed for team engagement and entertainment purposes. Nothing in the Service constitutes professional advice of any kind.
15. LIMITATION OF LIABILITY
15.1 Exclusion of Certain Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL GATHERILLA, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY:
(a) INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES;
(b) LOSS OF PROFITS, REVENUE, BUSINESS, OR ANTICIPATED SAVINGS;
© LOSS OF GOODWILL OR REPUTATION;
(d) LOSS OF DATA; OR
(e) COST OF PROCUREMENT OF SUBSTITUTE SERVICES;
ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
15.2 Cap on Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF:
(a) THE TOTAL FEES PAID BY YOU TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
(b) ONE HUNDRED POUNDS STERLING (£100).
15.3 Exceptions
Nothing in these Terms shall exclude or limit our liability for:
(a) Death or personal injury caused by our negligence;
(b) Fraud or fraudulent misrepresentation;
© Any other liability that cannot be excluded or limited under applicable law.
15.4 Basis of the Bargain
You acknowledge that the limitations of liability in this Section reflect a reasonable allocation of risk and that such limitations are an essential basis of the bargain between you and Gatherilla. Our pricing reflects this allocation of risk.
16. INDEMNIFICATION
16.1 Your Indemnification Obligations
You agree to indemnify, defend, and hold harmless Gatherilla and its affiliates, directors, officers, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:
(a) Your use of the Service;
(b) Your breach of these Terms or any related policies;
© Your violation of any applicable law or regulation;
(d) Your violation of any third-party rights, including intellectual property rights or privacy rights;
(e) Any content or data you submit to the Service; or
(f) Any activity conducted through your account.
16.2 Procedure
We will provide you with prompt notice of any claim subject to indemnification (to the extent we are permitted to do so). You shall not settle any claim without our prior written consent if the settlement would require us to admit liability or take any action other than the payment of money.
17. TERMINATION
17.1 Termination by You
You may terminate these Terms at any time by:
(a) Cancelling your subscription as described in Section 8; and
(b) Deleting your account through your account settings or by contacting us.
17.2 Termination by Us
We may terminate or suspend your access to the Service immediately, without prior notice or liability, if:
(a) You breach any provision of these Terms or any related policies;
(b) You fail to pay any fees when due;
© We are required to do so by law;
(d) We discontinue the Service; or
(e) We determine, in our sole discretion, that your use of the Service poses a risk to us, other users, or third parties.
17.3 Effect of Termination
Upon termination of these Terms:
(a) Your right to access and use the Service will immediately cease;
(b) All licences granted to you under these Terms will terminate;
© You will remain liable for all fees incurred prior to termination;
(d) We may delete your account and all associated data in accordance with our Privacy Policy; and
(e) Any provisions of these Terms that by their nature should survive termination shall survive, including Sections 9 (Intellectual Property), 14 (Disclaimers), 15 (Limitation of Liability), 16 (Indemnification), and 19 (Governing Law and Jurisdiction).
17.4 No Refund Upon Termination for Breach
If we terminate your account due to your breach of these Terms, you will not be entitled to any refund of prepaid fees.
18. DISPUTE RESOLUTION
18.1 Informal Resolution
Before initiating any formal dispute resolution proceedings, you agree to first attempt to resolve any dispute informally by contacting us at support@gatherilla.com. We will attempt to resolve the dispute informally by contacting you via email. If the dispute is not resolved within 30 days, either party may proceed with formal dispute resolution.
18.2 Formal Dispute Resolution
Any dispute, controversy, or claim arising out of or relating to these Terms or the Service that cannot be resolved informally shall be resolved through the courts as specified in Section 19.
19. GOVERNING LAW AND JURISDICTION
19.1 Governing Law
These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.
19.2 Jurisdiction
The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms (including non-contractual disputes or claims).
19.3 International Users
If you are accessing the Service from outside the United Kingdom, you do so at your own risk and are responsible for compliance with the laws of your jurisdiction to the extent they apply.
20. GENERAL PROVISIONS
20.1 Entire Agreement
These Terms, together with our Privacy Policy, Cookie Policy, Acceptable Use Policy, and any other policies incorporated by reference, constitute the entire agreement between you and Gatherilla concerning the Service and supersede all prior agreements, understandings, representations, and warranties, both written and oral.
20.2 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
20.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by Gatherilla.
20.4 Assignment
You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms, in whole or in part, without restriction. Any attempted assignment in violation of this Section shall be void.
20.5 No Third-Party Beneficiaries
These Terms do not confer any rights on any third party under the Contracts (Rights of Third Parties) Act 1999 or otherwise, except that our affiliates are third-party beneficiaries of these Terms.
20.6 Force Majeure
We shall not be liable for any failure or delay in performing our obligations under these Terms if such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labour, or materials.
20.7 Notices
We may provide notices to you by email to the address associated with your account, by posting on the Service, or by other reasonable means. You may provide notices to us by email to support@gatherilla.com or by post to our registered address. Notice shall be deemed given upon receipt.
20.8 Headings
The headings in these Terms are for convenience only and shall not affect the interpretation of these Terms.
20.9 Export Compliance
You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce, and sanctions programs administered by relevant authorities.
20.10 Government Users
If you are a government entity, you agree that use, duplication, reproduction, release, modification, disclosure, or transfer of the Service is subject to restrictions as set forth in applicable government regulations.

22. DEFINITIONS
In these Terms, the following definitions apply:

“Gatherilla IP” means all intellectual property owned by or licensed to Gatherilla, including the Service, software, games, content, features, functionality, designs, text, graphics, logos, icons, images, and audio.
“Organisation” means a company, business, or other entity that has created an Organisation account on the Service.
“Platform” means the Gatherilla website located at gatherilla.com and all associated subdomains.
“Service” means the Gatherilla platform, including all games, features, functionality, and related services.
“Terms” means these Terms of Service, as may be amended from time to time.
“Your Data” means all data, content, and information you input, upload, or otherwise provide to the Service.
